Terms of Use

This document is an electronic record under the Information Technology Act, 2000, and applicable rules, as amended by the Act. It does not require physical or digital signatures.

This document is published in accordance with Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011. These rules require the publication of the regulations, privacy policy, and Terms of Use for accessing the Retaillz Mart platform, including the website https://www.retaillz.com or any associated app.

The use of services or features (referred to as “purchases”) through the website, app, or via phone/call (collectively referred to as the “Platform”) is owned by Retaillz Mart, a Partnership Firm with its registered office at Retaillz.com Building, Second Floor, Gulmarg Road Magam, Opposite J&K Bank, Jammu and Kashmir, India, 193401.

In these Terms of Use, “You” or “User” refers to any person visiting or using the Platform, and “We,” “Us,” or “Our” refers to Retaillz Mart.

Your use of the Platform, services, and tools is governed by these terms and conditions, along with the policies incorporated by reference. By using the Platform, you agree to these terms, forming a binding contract with Retaillz Mart.

All materials on the Platform (excluding third-party content) are the property of Retaillz Mart and are protected by worldwide copyright laws. You agree to comply with these laws and to avoid unauthorized copying. Retaillz Mart does not grant any rights under patents, trademarks, copyrights, or trade secrets.

When using materials provided through the Platform, such as customer comments and social actions, you are subject to the applicable rules, guidelines, policies, and terms, which are considered part of these Terms of Use. We reserve the right to modify the Terms of Use at any time without prior notice. It is your responsibility to review them periodically. Your continued use of the Platform indicates acceptance of any changes.

As long as you comply with the Terms of Use, we grant you a personal, non-exclusive, non-transferable, and limited right to access and use the Platform.

Accessing the Platform

By accessing, browsing, or using the Platform, you agree to the Terms of Use. Please read these terms carefully before proceeding. Accepting these Terms, whether explicitly or implicitly, also means you agree to abide by Retaillz Mart’s policies, including the Privacy Policy, which may be updated from time to time.

User Eligibility

The Platform is available only to individuals who can enter into legally binding contracts under the Indian Contract Act, 1872. Those considered “incompetent to contract” under this Act, such as minors or un-discharged insolvents, are not eligible. If you are under 18 years old, you must not use the Platform. Minors wishing to use the Platform must have their legal guardian or parents do so on their behalf. Retaillz Mart may refuse access if it learns or discovers that you are underage.

Account and Registration Obligations

You are responsible for all activities and actions associated with your use of the Platform. If the information you provide is found to be false, inaccurate, outdated, or incomplete, or if we have reasonable grounds to suspect it is, we may suspend, terminate, or block your account and deny you access to the Platform.

Communications

By using the Platform or sending communications to us electronically, you consent to receive communications from us via electronic records. We may contact you through email or other electronic means as necessary.

Forum/Blogs/Posts

This is to inform you that individuals, including but not limited to Retaillz Mart employees (referred to as “Individuals” hereafter), may contribute articles and opinions to this Platform at Retaillz Mart’s discretion. You acknowledge that these articles reflect the opinions of the Individuals, and Retaillz Mart retains all copyright to these blogs posts or articles.

By using the Platform, you agree to the following:

1. You will not host, display, upload, modify, publish, transmit, update, or share any information that:

(a) Belongs to another person and you do not have rights to it;

(b) Is grossly harmful, harassing, defamatory, obscene, pornographic, pedophilic, libelous, invasive of privacy, hateful, or objectionable based on race, ethnicity, or other characteristics. This includes content related to money laundering or gambling, or that is otherwise unlawful. It also includes content that unlawfully threatens or harasses, such as “indecent representation of women” as defined by the Indecent Representation of Women (Prohibition) Act, 1986;

(c) Is misleading in any way;

(d) Is offensive to the online community, such as sexually explicit content or material that promotes obscenity, pedophilia, racism, bigotry, hatred, or physical harm against any group or individual;

(e) Harasses others or advocates for harassment;

(f) Involves sending “junk mail,” “chain letters,” or unsolicited mass mailings or “spamming”;

(g) Promotes illegal activities or abusive, threatening, obscene, defamatory, or libelous conduct;

(h) Infringes on any third party’s rights, including intellectual property, privacy (e.g., unauthorized disclosure of personal information), or publicity;

(i) Promotes illegal or unauthorized copies of copyrighted work, such as pirated software or music, or information to bypass copy protection;

(j) Contains restricted or password-protected pages, or hidden content that is not accessible through other pages;

(k) Provides material that exploits individuals inappropriately, whether sexually, violently, or otherwise, or solicits personal information;

(l) Offers instructions on illegal activities, such as making or buying illegal weapons, violating privacy, or creating computer viruses;

(m) Includes videos, photographs, or images of individuals, whether minors or adults;

(n) Attempts to gain unauthorized access to the Platform or its various areas, such as profiles, blogs, and account information, or seeks passwords or personal details from other users for unlawful purposes;

(o) Solicits or engages in gambling activities deemed illegal at our discretion;

(p) Disrupts another user’s experience on the Platform or affects their use of similar services;

(q) Links to external sites or URLs with material deemed inappropriate or in violation of these Terms of Use;

(r) Harms minors;

(s) Violates patents, trademarks, copyrights, or any proprietary rights, including trade secrets or privacy rights;

(t) Contravenes any applicable laws;

(u) Misleads users about the origin of messages or communicates information that is offensive or menacing;

(v) Impersonates another individual or entity;

(w) Contains software viruses or other code designed to interrupt, destroy, or limit the functionality of any computer resource. It may also include trojans, worms, time bombs, cancelbots, easter eggs, or similar routines that could damage or interfere with systems, data, or personal information.

(x) Threatens India’s unity, integrity, defense, security, or sovereignty, impacts relations with foreign states, disrupts public order, incites criminal activity, obstructs investigations, or insults other nations.

(y) Is false, inaccurate, or misleading;

(z) Creates liability for us or results in the loss of services from our internet service provider (“ISPs”) or other suppliers;

2. You must not use any automated tools, such as “deep-links,” “page-scrapes,” “robots,” “spiders,” or similar methods, to access, acquire, copy, or monitor any part of the Platform or its Content. You should not attempt to reproduce or bypass the Platform’s navigational structure or presentation to obtain materials, documents, or information not intentionally provided. We reserve the right to prevent such activities.

3. Unauthorized access to any part of the Platform, or to systems or networks connected to it, is prohibited. This includes using hacking, password mining, or other illegitimate methods to gain access to servers, computers, networks, or services offered on the Platform.

4. You must not test or probe the Platform’s vulnerability or breach its security measures. Avoid attempting to trace information about other users or customers, or exploit the Platform’s services or information to reveal personal details beyond your own.

5. Negative, defamatory, or denigrating statements about us or our brand, or actions that might harm the reputation of Retaillz Mart, its associates, or its trademarks, are not permitted. Additionally, do not impose an unreasonable burden on the Platform’s infrastructure or any connected systems.

6. You agree not to use any device, software, or routine to disrupt the proper functioning of the Platform or interfere with any transaction, or with another person’s use of the Platform.

7. Forging headers or manipulating identifiers to hide the origin of any communication sent through the Platform is prohibited. Impersonating others or pretending to represent someone else is also not allowed.

8. The Platform and its content must not be used for unlawful purposes or to solicit illegal activities or actions that infringe upon the rights of Retaillz Mart or others.

9. You must always comply with the applicable provisions of the Information Technology Act, 2000, as well as any relevant domestic laws, rules, and regulations.

10. To allow us to use the information you provide without violating your rights, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, and sub-licensable right to use your information in any media, both existing and future. We may use this information for promotional, advertising, or other purposes in accordance with our Privacy Policy. You agree that you will not receive any compensation for such use.

11. Advertising to or soliciting other users to buy or sell products or services through the Platform is prohibited. You must not send chain letters or unsolicited commercial emails to other users. Using information obtained from the Platform to harass, abuse, or harm others, or to contact, solicit, or sell to others without our consent is a violation of these Terms. We reserve the right to disclose information as required to comply with legal requests or investigations and to share details with law enforcement or government officials if deemed necessary for investigating or resolving potential crimes, particularly those involving personal injury.

12.We reserve the right, but are not obligated, to monitor the materials posted on the Platform. Retaillz Mart can remove or edit any content that, in its sole discretion, violates or is alleged to violate any applicable law or the spirit or letter of these Terms of Use. Despite this, you remain solely responsible for the content of the materials you post on the Platform and in your private messages. The content you post does not necessarily reflect Retaillz Mart’s views. Retaillz Mart does not assume any responsibility or liability for content posted or for any claims, damages, or losses resulting from the use or appearance of content on the Platform. You represent and warrant that you have all necessary rights to the content you provide and all information it contains, and that the content does not infringe on any proprietary or other rights of third parties or contain any libelous, tortious, or unlawful information.

13. It is possible that other users (including unauthorized users or “hackers”) may post or transmit offensive or obscene materials on the Platform, and you might be exposed to such materials. Others could obtain personal information about you due to your use of the Platform, and the recipient might use that information to harass or harm you. We do not approve of such unauthorized uses, but by using the Platform, you acknowledge and agree that we are not responsible for the use of any personal information you publicly disclose or share with others on the Platform. Carefully consider the type of information you disclose or share with others on the Platform.

14. Retaillz Mart retains the right to take necessary action and claim damages for any involvement in DoS/DDoS (Distributed Denial of Services) attacks, whether intentional or unintentional, by you individually or through a group. Except as expressly provided in these Terms of Use, no part of the Platform and no materials may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way (including “mirroring”) to any other computer, server, Platform, or medium for publication or distribution or for any commercial enterprise, without Retaillz Mart’s express prior written consent.

15. You agree that in case of financing of any product, Retaillz Mart may share the your details including and not limited to order details for which finance is availed, shipping and billing address, contact and email details, details of service and repair, details of tech support.

16. You agree to repay the financing amount, including any interest and charges, to the lender as specified in the terms agreed upon at the time of obtaining the finance. Any disputes arising between you and the lending partner will be resolved directly between the parties involved, without the participation or involvement of Retaillz Mart. Retaillz Mart shall not be liable for any consequences resulting from such disputes.

You may use the materials available on the Platform for downloading under the following conditions: (1) proprietary notice language must not be removed from any copies of such documents, (2) the information can only be used for personal, non-commercial informational purposes and must not be copied, posted on any networked computer, or broadcasted in any media, (3) no modifications should be made to the information, and (4) no additional representations or warranties should be made about the documents.

Third-Party Content: The Platform provides access to third-party information, including software, computer tools, articles, analyst reports, news reports, calculation tools, company information, and data about financial markets and regulatory authorities (collectively referred to as “Third-Party Content”). You acknowledge that this content is not created or endorsed by Retaillz Mart. It is offered solely for general informational purposes and does not serve as a recommendation or solicitation for buying or selling securities or making other investment decisions. Additionally, it does not provide tax, legal, or investment advice. While the Third-Party Content is obtained from sources believed to be reliable, Retaillz Mart and the content providers do not guarantee its accuracy, completeness, or timeliness. You agree not to hold Retaillz Mart, any business offering products or services through the Platform, or any Third-Party Content provider liable for any investment decisions or transactions made based on this content, or for any liability arising from delays or interruptions in the delivery of the Third-Party Content.

Using Third-Party Content may redirect you to external sites managed by entities other than Retaillz Mart. If you choose to visit these sites, you do so at your own risk and must take protective measures against viruses or other harmful elements. Retaillz Mart does not warrant, endorse, or assume responsibility for any linked sites or their content, nor does it imply sponsorship, affiliation, or authorization to use any trademarks or copyrights displayed on those sites. The inclusion of links does not imply that Retaillz Mart endorses the linked sites or is responsible for their content or updates. These links are provided solely for convenience, and their inclusion does not constitute endorsement by Retaillz Mart.

Posting on the Platform:

Retaillz Mart does not claim ownership of the materials you provide to Retaillz Mart (including feedback and suggestions) or post, upload, input, or submit to any section of the Platform (collectively referred to as “Submissions”). However, by posting your Submission, you grant Retaillz Mart, its affiliated companies, and necessary sub-licensees permission to use it in connection with the operation of their business. This includes the rights to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat your Submission; publish your name in connection with your Submission; and sublicense these rights to others.

You acknowledge that no compensation or future commercial consideration will be provided for the use of your Submission by Retaillz Mart. Retaillz Mart is not obligated to post or use any Submission you provide and may remove any Submission at its sole discretion.

By posting a Submission, you warrant that you own or control all the rights required under worldwide law for your Submission as described in these Terms of Use, including all rights necessary for you to provide, post, upload, input, or submit it.

Profanity Policy:

Retaillz Mart prohibits language that is racist, hateful, sexual, or obscene in public areas of the Platform.

This policy applies to your Submissions, postings, and all other areas visible to other users. We allow users to censor offensive words using asterisks (e.g., s*** or f***).

Please report any violations of this policy for review.

 

 

 

If a feedback comment, any communication between users on the Platform, or email communication between users contains profanity, please review our feedback removal policy and submit a request for action or removal.

Privacy

We consider the protection of your privacy to be very important. We recognize that you and your personal information are among our most valuable assets. We store and process your information, including any sensitive financial data as defined under the Information Technology Act, 2000, on computers protected by physical and reasonable technological security measures in accordance with the Act and its rules. Our current Privacy Policy can be found at https://www.retaillz.com/privacy-policy/. If you do not agree with the transfer or use of your information in this manner, please do not use the Platform.

We may share personal information with our corporate entities and affiliates, who may then market to you unless you explicitly opt out.

Personal information may also be disclosed to third parties if necessary to provide access to our services, comply with legal obligations, enforce our User Agreement, facilitate marketing and advertising activities, or investigate fraudulent or illegal activities related to our services.

Disclosure of personal information may occur if required by law or in good faith to respond to subpoenas, court orders, or other legal processes. We may also share personal information with law enforcement, rights owners, or others if it is deemed necessary to enforce our Terms or Privacy Policy, respond to claims of rights violations, or protect the safety and rights of our users and the public.

If we or our assets are involved in a merger with, acquisition by, or reorganization of another business entity, your personal information will be shared with the new entity, which will be required to adhere to this privacy policy.

Disclaimer of Warranties and Liability

This Platform, including all materials, information, and services provided through it, is offered on an “as is” and “as available” basis without any express or implied warranties, except as otherwise specified in writing. Retaillz Mart does not guarantee:

The continuous availability of the Platform or its availability at all; or
The completeness, accuracy, or non-misleading nature of the information on the Platform.

Retaillz Mart will not be liable to you in any way regarding the Materials or use of the Platform. Retaillz Mart does not guarantee that the site, information, content, materials, products (including software), services, servers, or electronic communications from us are free of viruses or other harmful components.

Indemnity

You agree to indemnify and hold harmless Retaillz Mart, its owner, licensee, affiliates, subsidiaries, group companies, and their respective officers, directors, agents, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third party or penalty imposed due to your breach of these Terms of Use, the Privacy Policy, other policies, or any law, rule, regulation, or the rights of a third party (including intellectual property rights).

Limitation of Damages

Retaillz Mart and its subsidiaries or affiliates are not liable for any direct, indirect, special, consequential, or other damages (including lost profits, business interruption, or loss of information or data) related to the use of, or inability to use, the content, materials, and functions of this Platform or any linked Platform, even if Retaillz Mart has been advised of the possibility of such damages.

Disclaimer

The Platform may contain inaccuracies and typographical or clerical errors. Retaillz Mart disclaims any obligation to update this Platform or its materials. We do not guarantee the accuracy or completeness of the materials or the reliability of any advice, opinion, statement, or information displayed or distributed through the Platform. Any reliance on such information is at your own risk. We reserve the right to correct errors or omissions and make changes to the Platform, materials, and any products, programs, services, or prices described, without notice. This Platform is for informational purposes only and does not constitute technical advice.

Applicable Law

These Terms of Use are governed by and construed in accordance with the laws of India. Jurisdiction is exclusively in Bangalore.
